What is a Non-Disclosure Agreement?

A Non-Disclosure Agreement (NDA) is a contract in which one or both parties agree to keep certain information secret. It defines exactly what counts as confidential — business plans, customer lists, pricing, prototypes — and what the receiving party may and may not do with it.
